Confidentiality Agreement

A Confidentiality Agreement is a legally binding agreement between the Disclosing Party and the Receiving Party, whereby one party’s interests are legally protected when disclosing confidential information to the other party. This agreement is drafted specifically for those cases where the Disclosing Party wishes to protect their interests when disclosing confidential information.

This agreement is drafted specifically for those cases where the Disclosing Party wishes to protect their interests when disclosing confidential information. It is a comprehensive agreement which serves to regulate the relationship between the parties. It contains the essential clauses necessary to ensure that both parties’ interests are protected.

This agreement is used in cases where the parties wish to share confidential information, but want to ensure that third parties and/or the public do not become privy to this information.  The agreement regulates the disclosure and/or non-disclosure of this confidential information. It is also called a non-disclosure agreement, due to the restrictions on disclosure that are placed on the parties.
